(the “Asset Management Company”) entered into an Asset Management Agreement on May 2, 2005. As an entity licensed as an asset management company under the Financial Instruments and Exchange Law of Japan provides asset management services pursuant to the Asset Management Agreement and in accordance with asset management criteria and policies defined under the Investment Corporation’s Articles of Incorporation. The services entrusted to the Asset Management Company include: (1) management of assets held by the Investment Corporation; (2) services relating to fund raising of the Investment Corporation; (3) services relating to reporting to the Investment Corporation and; (4) services relating or incidental to items (1) through (3) above that are requested by the Investment Corporation from time to time. |

Pursuant to the Administrative Agency Agreement, Mizuho Trust & Banking Co., Ltd., as the General Administrative Agent (as defined under Items 4 through 6 of Article 111 of the Investment Trust and Investment Corporation Law of Japan) provides the following: (1) services related to the management of the Investment Corporation Board of Directors’ meetings; (2) accounting and related services; (3) services related to bookkeeping preparation and; (4) services related to taxation. In addition, pursuant to the Custody Agreement in its capacity as asset custodian, Mizuho Trust & Banking Co., Ltd. provides services relating to the custody of assets held by the Investment Corporation. |
| Transfer Agent | The Chuo Mitsui Trust and Banking Company, Limited | The Investment Corporation and The Chuo Mitsui Trust and Banking Company, Limited entered into a Transfer Agency Agreement on May 2, 2005. Pursuant to the Transfer Agency Agreement, as Transfer Agent (as defined under Items 2 and 3 of Article 111 of the Investment Trust and Investment Corporation Law of Japan, but excluding matters relating to Investment Corporation bonds) provides services relating to: (1) investment unit transfers and registration; (2) investment unit issuance; (3) dividend payments to unitholders; (4) organizational management; (5) the receipt of notifications from unitholders, including but not limited to requests from unitholders seeking to exercise their rights. |
